第1条（本規約の目的と適用）Article 1 (Purpose and scope)

本規約は、当社が Shopify 向けに提供するアプリケーション「Xtheme - 定期購入」（以下「本アプリ」といいます。）およびこれに付随するオンライン上の機能・ドキュメント・サポートの総体（以下「本サービス」といいます。）の利用条件を、本サービスを利用するストアの運営者（法人・個人事業者等を含みます。以下「利用者」といいます。）と当社との間で定めるものです。These Terms of Service (“Terms”) set forth the conditions for use of the application “Xtheme - Subscriptions” (“the App”) that we provide for Shopify, together with related online features, documentation, and support (collectively, “the Service”), between us and merchants who operate stores that use the Service (including corporations and sole proprietors; “you” or “Merchant”).

第2条（運営者・お問い合わせ）Article 2 (Operator and contact)

本規約上の「当社」とは、本サービスを運営する事業者をいいます。法人の正式名称、所在地、代表者等は、本サービスの Shopify アプリストア掲載情報、当社が公表するプライバシーポリシー、または当社ウェブサイトに記載の内容をご参照ください。本規約に関するお問い合わせは、当該掲載情報に記載の連絡方法に従って行うものとします。“We,” “us,” or “our” means the business operator of the Service. Our legal name, address, representative, and contact details are set out in our Shopify App Store listing, our published Privacy Policy, and/or our website. For inquiries about these Terms, please use the contact method stated in those materials.

第3条（契約の成立と規約への同意）Article 3 (Formation of contract and acceptance)

1. 利用者は、本アプリを Shopify ストアにインストールする行為、本サービスの有料機能に関する課金の承認、または本サービスの実際の利用のいずれかを行った時点で、本規約の全条項に同意したものとみなします。You are deemed to have agreed to all provisions of these Terms when you install the App on a Shopify store, approve billing for paid features of the Service, or otherwise begin using the Service.
2. 利用者が本規約に同意しない場合、本サービスをインストールまたは利用してはなりません。If you do not agree to these Terms, you must not install or use the Service.
3. 利用者とエンド顧客その他第三者との取引条件は、利用者が自ら定めるものとし、当社はその当事者となりません。Terms between you and end customers or other third parties are determined by you; we are not a party to those transactions.

第4条（Shopify および第三者プラットフォーム）Article 4 (Shopify and third-party platforms)

1. 本サービスは Shopify 上で動作し、Shopify が提供する API・インフラ・決済・定期購入関連機能等に依存します。利用者は、Shopify 株式会社その他 Shopify グループの利用規約、API ライセンス、プライバシーに関する方針、アプリストアの条件等を遵守するものとします。The Service runs on Shopify and depends on APIs, infrastructure, payments, subscription-related features, and other services provided by Shopify. You must comply with the terms, API licenses, privacy policies, App Store conditions, and other rules of Shopify Inc. and the Shopify group.
2. 当社は、利用者と Shopify その他第三者との契約の当事者ではなく、当該契約に基づく義務の履行や紛争について責任を負いません。We are not a party to your agreements with Shopify or other third parties and are not responsible for performance of obligations or disputes under those agreements.
3. Shopify 側の障害、仕様変更、メンテナンス、API の提供停止または制限、決済ネットワークの障害等により本サービスの全部または一部が利用できなくなった場合でも、当社に故意または重過失がある場合を除き、当社は責任を負いません。Except where we act with intent or gross negligence, we are not liable if all or part of the Service becomes unavailable due to outages, specification changes, maintenance, suspension or limitation of APIs, payment network failures, or similar events on Shopify’s side.

第5条（本サービスの内容）Article 5 (Description of the Service)

1. 本サービスは、利用者のストアにおける定期購入に関する設定・表示・運用を支援するソフトウェアです。具体的な機能範囲は、アプリストアの説明、本アプリ内の表示、および当社が別途案内するドキュメントに従います。The Service is software that helps you configure, display, and operate subscriptions in your store. Specific features are as described in the App Store listing, in-app displays, and documentation we provide separately.
2. 当社は、改善・法令対応・セキュリティ確保等のため、本サービスの内容、提供方法、インターフェース、連携先を変更することがあります。利用者に重大な不利益を与える変更を行う場合、当社は合理的な範囲で事前に周知するよう努めますが、法令上または技術上やむを得ない変更については、事前周知なく実施することがあります。We may change the content, delivery method, interface, or integrations of the Service for improvement, legal compliance, security, or similar reasons. Where a change would materially disadvantage you, we will endeavour to give reasonable advance notice; changes required by law or technically unavoidable may be made without prior notice.
3. 当社は、本サービスが利用者の特定の売上目標、検索順位、在庫・会計処理の正確性、または特定の法令・業界自主規制への適合を保証するものではありません。We do not warrant that the Service will meet any particular revenue goal, search ranking, accuracy of inventory or accounting, or compliance with specific laws or industry self-regulation.

第6条（利用資格とアカウント）Article 6 (Eligibility and accounts)

1. 利用者は、対象ストアについて Shopify の管理権限を有し、本サービスの利用およびデータの処理について法的権限を有していることを表明し、保証します。You represent and warrant that you have Shopify admin rights for the relevant store and legal authority to use the Service and process data in connection with it.
2. 利用者は、当該ストアの Shopify 管理画面にアクセスする権限を付与された者（スタッフアカウント等を含みます。）の範囲で本サービスを利用できます。本サービスを第三者に再販売し、再ライセンスし、または無断で共有してはなりません。You may use the Service within the scope of persons authorized to access the store’s Shopify admin (including staff accounts). You must not resell, sublicense, or share the Service with third parties without our permission.

第7条（利用料および支払）Article 7 (Fees and payment)

1. 有料プランがある場合、利用者は、当社がアプリストア上で表示する料金に従い、Shopify が定める課金方法（Shopify Billing API 等）を通じて利用料を支払うものとします。クレジットカード番号等の決済手段の詳細を当社が直接保持する場合は、当社のプライバシーポリシーに従います。If paid plans are offered, you will pay fees shown by us on the App Store through Shopify’s billing methods (e.g. Shopify Billing API). If we directly retain payment instrument details, we handle them in accordance with our Privacy Policy.
2. 利用料の発生条件、請求サイクル、返金の可否は、アプリストアの表示および Shopify の定める条件に優先して適用されるものとします。当社が別途書面で合意した場合は、その限りではありません。Conditions for fees, billing cycles, and refunds follow the App Store display and Shopify’s terms unless we agree otherwise in writing.
3. 利用者が料金の支払を怠った場合、当社は本サービスの提供を停止することがあります。If you fail to pay fees when due, we may suspend provision of the Service.

第8条（禁止事項）Article 8 (Prohibited conduct)

利用者は、以下の行為をしてはなりません。You must not:

1. 法令、裁判所の判断、行政当局の処分に違反する行為、または公序良俗に反する行為Violate laws, court orders, administrative measures, or public order and morals
2. 当社、Shopify、他の利用者、エンド顧客その他第三者の知的財産権、名誉、プライバシー、財産その他の権利利益を侵害する行為、またはそのおそれのある行為Infringe or risk infringing intellectual property, reputation, privacy, property, or other rights of us, Shopify, other users, end customers, or third parties
3. 本サービスまたは関連システムに対する不正アクセス、負荷試験の濫用、当社が設定したアクセス制限の不正な回避、認証情報の共有、なりすましUnauthorized access, abusive load testing, circumventing access controls we set, sharing credentials, or impersonation
4. 本サービスのソースコードまたは挙動を解析する目的での逆コンパイル、逆アセンブル、リバースエンジニアリング（適用法上禁止が無効とされる範囲を除きます。）Reverse engineer, decompile, or disassemble the Service except where prohibited by applicable law
5. 本サービスを通じて取得したデータを、本サービスの利用目的の範囲を超えて利用・販売・公開する行為Use, sell, or disclose data obtained through the Service beyond the purposes of using the Service
6. マルウェアの配布、スパム送信、フィッシング等、第三者に害を及ぼす行為Distribute malware, send spam, phishing, or otherwise harm third parties
7. 当社の信用を毀損する行為、または本サービスの運営を不当に妨害する行為Damage our reputation or unreasonably interfere with operation of the Service
8. その他、当社が合理的に不適切と判断する行為Any other conduct we reasonably deem inappropriate

第9条（知的財産権）Article 9 (Intellectual property)

1. 本サービスに関するプログラム、デザイン、商標、ドキュメント、ロゴ等に関する知的財産権は、当社またはライセンサーに帰属します。本規約に基づく利用許諾は、本サービスを対象ストアの範囲で利用する非独占的なライセンスを意味し、知的財産権そのものの譲渡を意味しません。Intellectual property in the Service (programs, design, trademarks, documentation, logos, etc.) belongs to us or our licensors. Your license under these Terms is a non-exclusive license to use the Service for the relevant store; it does not transfer ownership of intellectual property.
2. 利用者が本サービスに入力した設定値、文面、画像等のコンテンツの権利は利用者に留保されます。ただし、利用者は、当社が本サービスの提供・改善・法令遵守・不正防止のために必要な範囲で当該情報を利用・複製することを許諾します。You retain rights in content you input (settings, text, images, etc.). You grant us permission to use and reproduce that information as necessary to provide, improve, comply with law, and prevent misuse of the Service.

第10条（データ、バックアップ、個人情報）Article 10 (Data, backup, and personal information)

1. 利用者は、必要に応じ、自らの判断と責任でデータの保全・バックアップに留意するものとします。You are responsible, at your discretion, for safeguarding and backing up data as needed.
2. 個人情報の取扱いは、当社が公表するプライバシーポリシーに従います。利用者は、エンド顧客等の個人情報を取り扱う際、適用法および利用者自身のプライバシーポリシーに従うものとします。We handle personal information as described in our published Privacy Policy. When you process end-customer personal data, you must comply with applicable law and your own privacy policy.
3. アンインストール後のデータ削除等については、Shopify が定めるコンプライアンス Webhook（例: shop/redact 等）およびプライバシーポリシーに記載の手順に従います。Deletion of data after uninstall follows Shopify compliance webhooks (e.g. shop/redact) and procedures in our Privacy Policy.

第11条（保証の否認および免責の枠組み）Article 11 (Disclaimer of warranties and liability framework)

1. 本サービスは、現状有姿（as is）で提供されます。当社は、本サービスが中断なく稼働すること、特定の結果が得られること、エラーが発生しないこと、セキュリティ上完全に安全であることについて、明示黙示を問わず保証しません。The Service is provided “as is.” We disclaim all warranties, express or implied, including uninterrupted operation, particular results, error-free operation, and complete security.
2. 定期購入の請求成否、注文の生成、在庫引当、配送、税計算、特定商取引法その他消費者保護法令への適合は、利用者のストア設定、Shopify の機能、決済事業者の処理等に依存します。これらに起因する損害について、当社に故意または重過失がある場合を除き、当社は責任を負いません。Subscription billing success, order creation, inventory allocation, shipping, tax calculation, and compliance with consumer protection laws depend on your store settings, Shopify, and payment processors. Except for our intent or gross negligence, we are not liable for damages arising from these matters.
3. 利用者とエンド顧客その他第三者との間で生じた紛争は、利用者の費用と責任で解決するものとします。Disputes between you and end customers or other third parties are resolved at your expense and responsibility.

第12条（損害賠償の制限）Article 12 (Limitation of damages)

本サービスの利用または利用不能により利用者に生じた損害（間接損害、逸失利益等を含みます。）について、当社は、法令で認められる範囲を超えて責任を負いません。賠償責任がある場合でも、当社が利用者から当該利用に関して当社に支払いを受けた対価の額を上限とします。To the extent permitted by law, we are not liable for damages (including indirect damages and lost profits) arising from use or inability to use the Service. If liability arises, our total liability is capped at fees we received from you for that use.

第13条（利用の制限・停止・終了）Article 13 (Suspension and termination)

1. 当社は、利用者が本規約に違反した場合、料金の支払がない場合、またはセキュリティ上・法令上必要と判断した場合、事前通知の有無にかかわらず、本サービスの全部または一部の提供を停止または終了することができます。We may suspend or terminate all or part of the Service without prior notice if you breach these Terms, fail to pay fees, or if required for security or legal reasons.
2. 利用者は、本アプリをストアからアンインストールすることにより、本サービスの利用を終了できます。終了後も、第9条、第10条第3号、第12条、第15条、第17条等に定める条項は、合理的な範囲で効力を有します。You may end use by uninstalling the App from your store. Articles 9, 10(3), 12, 15, 17, and similar provisions survive termination to a reasonable extent.

第14条（メンテナンス）Article 14 (Maintenance)

当社は、システム保守、障害対応、セキュリティ更新等のため、本サービスの提供を一時的に中断することがあります。可能な限り事前に通知するよう努めますが、緊急を要する場合は事後通知とすることがあります。We may temporarily interrupt the Service for maintenance, incident response, or security updates. We will endeavour to give advance notice where possible; urgent cases may be notified afterward.

第15条（秘密保持）Article 15 (Confidentiality)

利用者および当社は、本サービスに関連して相手方から秘密として扱う旨が示された非公知の技術上または営業上の情報を、本サービスの利用・提供の目的以外に使用せず、第三者に開示しないものとします。法令または権限ある官公庁の命令による開示を除きます。Each party will not use or disclose non-public technical or business information marked confidential by the other, except to provide or use the Service or as required by law or competent authority.

第16条（反社会的勢力の排除）Article 16 (Anti-social forces)

利用者は、自己および関係者が、暴力団、暴力団員、暴力団関係企業、その他反社会的勢力に該当せず、かつこれらと関与しないことを表明し、確約します。違反が判明した場合、当社は催告なく本サービスの提供を終了できます。You represent that you and your affiliates are not organized crime groups or related parties and will not engage with them. If violation is found, we may terminate the Service without notice.

第17条（利用者による補償）Article 17 (Indemnification)

利用者が本規約に違反し、または本サービスの利用に関連して第三者からクレームを受け、当社に損害（合理的な弁護士費用を含みます。）が生じた場合、利用者は当社を免責し、当社に生じた損害を賠償するものとします。If you breach these Terms or third parties claim against us because of your use of the Service, you will indemnify us for damages (including reasonable attorneys’ fees).

第18条（本規約の変更）Article 18 (Changes to these Terms)

1. 当社は、法令の改正、本サービス内容の変更、事業上の必要性に応じて本規約を改定できます。We may revise these Terms due to legal changes, changes to the Service, or business necessity.
2. 改定後の本規約は、当社ウェブサイト、アプリ内表示、電子メールその他当社が適当と判断する方法で公表した時点から効力を生じます。公表後に利用者が本サービスを継続利用した場合、改定に同意したものとみなします。法令上同意が必要な変更については、当該法令に従います。Revised Terms take effect when published on our website, in the App, by email, or by other means we choose. Continued use after publication constitutes acceptance, subject to law where separate consent is required.

第19条（通知）Article 19 (Notices)

当社から利用者への通知は、アプリストアに登録された連絡先、利用者が本サービス利用時に提供した電子メールアドレス、または管理画面内の表示により行うことができます。We may notify you via App Store contact details, email you provide when using the Service, or notices in the admin interface.

第20条（譲渡等の禁止・分離可能性）Article 20 (Assignment and severability)

1. 利用者は、当社の事前の書面同意なく、本規約上の地位または本規約に基づく権利義務を第三者に譲渡し、または担保に供することはできません。You may not assign your status or rights and obligations under these Terms, or grant them as security, without our prior written consent.
2. 本規約のいずれかの条項が無効とされた場合でも、他の条項の有効性には影響しません。If any provision is invalid, the remaining provisions remain in effect.

第21条（準拠法および裁判管轄）Article 21 (Governing law and jurisdiction)

1. 本規約は、日本法に準拠して解釈されます。These Terms are governed by the laws of Japan.
2. 本サービスまたは本規約に関し当社と利用者との間に紛争が生じた場合、当社の本店所在地を管轄する地方裁判所を第一審の専属的合意管轄裁判所とします。ただし、利用者が消費者契約法その他の強行法規により専属的合意管轄を無効に主張できる場合は、この限りではありません。Exclusive jurisdiction for the first instance for disputes with us lies with the district court having jurisdiction over our head office, except where mandatory consumer law allows you to assert otherwise.
